1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Arybit Insurance, a division of Arybit Technologies ("Arybit Insurance," "we," "us," or "our"), concerning your access to and use of our InsurTech services, software solutions, and platforms.
By accessing or using our services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using our services and you must discontinue use immediately.
2. Services Description
Arybit Insurance provides InsurTech solutions including but not limited to:
- Policy Management Systems
- Claims Processing Automation
- Risk Assessment and Analytics
- Customer Relationship Management (CRM)
- Digital Distribution Platforms
- Compliance and Reporting Solutions
- Related consulting and implementation services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with appropriate notice to our clients.
3. User Eligibility and Registration
To use our services, you must:
- Be at least 18 years of age
- Have the legal authority to enter into this agreement
- Represent a legitimate business entity (for enterprise services)
- Be licensed to operate in the insurance industry (where applicable)
- Comply with all applicable laws and regulations in Kenya and your jurisdiction
You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.
4. Acceptable Use Policy
You agree not to use our services for any unlawful purpose or in any way that could damage, disable, or impair our services. Prohibited activities include:
- Attempting to gain unauthorized access to our systems or data
- Transmitting viruses, malware, or other harmful code
- Engaging in fraudulent activities or misrepresenting information
- Violating any applicable laws, regulations, or industry standards
- Interfering with other users' access to or use of our services
- Reverse engineering, decompiling, or attempting to extract source code
- Using our services to compete directly with our business
5. Data Protection and Privacy
We are committed to protecting your privacy and personal data in accordance with applicable Kenyan data protection laws and international best practices. Key principles include:
- Data is collected and processed lawfully and transparently
- Personal data is used only for specified, legitimate purposes
- Data is kept secure through appropriate technical and organizational measures
- Data subjects have rights regarding their personal information

6. Intellectual Property Rights
All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and design, are owned by Arybit Insurance and are protected by Kenyan and international copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to use our services solely for your internal business purposes in accordance with these Terms. This license does not include rights to:
- Redistribute, sell, or sublicense our services
- Modify or create derivative works
- Remove or alter any proprietary notices
- Use our trademarks without prior written consent
7. Service Level Agreement
We strive to maintain high availability and performance standards:
- Uptime: We target 99.9% uptime for our core services
- Support: Technical support available during business hours (9:00 AM - 6:00 PM EAT)
- Maintenance: Scheduled maintenance will be communicated in advance
- Response Times: Critical issues addressed within 4 hours, standard issues within 24 hours
Service level commitments may vary based on your specific service agreement.
8. Payment Terms and Billing
Payment terms are specified in your individual service agreement. General terms include:
- Fees are due as specified in your service agreement
- All payments are in Kenyan Shillings (KES) unless otherwise agreed
- Late payments may incur charges as specified in your agreement
- Refunds are handled according to our refund policy
- Price changes will be communicated with appropriate notice
9. Limitation of Liability
To the fullest extent permitted by law, Arybit Insurance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
Our total liability to you for all damages, losses, and causes of action shall not exceed the amount paid by you to us for the services in the twelve (12) months preceding the claim.
This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.
10. Indemnification
You agree to indemnify, defend, and hold harmless Arybit Insurance and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Any content or data you provide through our services
11. Termination
Either party may terminate this agreement with appropriate notice as specified in your service agreement. We may suspend or terminate your access immediately if:
- You breach these Terms or your service agreement
- You fail to pay fees when due
- We reasonably believe termination is necessary to protect our interests or those of other users
Upon termination, your right to use our services ceases immediately, and we will provide data export capabilities as specified in your agreement.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising under these Terms shall be resolved through:
- Direct Negotiation: Good faith discussions between the parties
- Mediation: If negotiation fails, through mediation in Nairobi
- Arbitration: If mediation fails, through binding arbitration under Kenyan arbitration law
The courts of Nairobi, Kenya shall have exclusive jurisdiction over any matters not resolved through arbitration.
13. Changes to Terms
We reserve the right to update these Terms at any time. We will notify you of any material changes by:
- Posting the updated Terms on our website
- Sending email notification to your registered email address
- Providing in-app notifications where applicable
Continued use of our services after changes become effective constitutes acceptance of the new Terms.

15. Severability and Entire Agreement
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Arybit Insurance regarding the use of our services.
Acknowledgment
By using our services, you acknowledge that you have read these Terms of Service and agree to be bound by them. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
